PURPOSE:The titled composition useful for matrix of composite material having improved shelf stability, resistance to moist heat and impact resistance, obtained by blending a polyfunctional maleimide, a pre-reacted product of an epoxy compound and a diamine and a urea compound in a specific ratio. CONSTITUTION:(A) A compound selected from (i) a polyfunctional maleimide, (ii) a polyfunctional cyanic acid ester, its oligomer or a prepolymer of the ester and an amine and (iii) a pre-reacted product of the components (i) and (ii) is blended with (B) a pre-reacted product of an epoxy compound containing plural epoxy groups and a diamine and (C) a urea compound as a catalyst for the component B in a ratio of the component B/A of 1/4-9/1 to give the aimed composition. A diamine such as 4,4'-diaminophenylsulfone, etc., having >=7 pkb is preferable as the diamine used in production of the component B.
