Resin-emulsion composition used as water-proof agent of cement is prepared by blending 60 parts of asphalt emulsion, 30 parts of epoxy resin emulsion, and 30 parts of rubber emulsion. Rubber emulsion is prepared from solution of 50 parts of natural rubber or synthetic rubber dissolved in 100 parts of organic solvent, e.g., toluene or xylene, by mixing with 10 parts of anionic and nonionic surfactant.
