A downhole assembly is disclosed and described for insertion into a borehole which addresses the problems associated with bit generated vibration, which are diminished. The assembly has a stabilizer sleeve element radially collocated about a bi-partite mandrel having an articulating and compliant metal-to-metal point of torque transfer and the stabilizer sleeve has a passive and active damping mechanisms associated therewith operating upon the bi-partite mandrel and located about the articulating and compliant metal-to-metal point of torque transfer.
