PROBLEM TO BE SOLVED: To provide a modified novolac resin having excellent flowability, humidity resistance and heat resistance and a thermosetting resin composition prepared by blending the modified novolac resin as a curing agent. SOLUTION: The cross-linked modified novolac resin contains 5-70 mol% repeating unit originating in a compound expressed by formula (1), 0-70 mol% repeating unit originating in a compound expressed by formula (II) and 30-50 mol% formaldehyde, meta-hydroxy benzaldehyde expressed by formula (III') and/or para-hydroxy benzaldehyde expressed by formula (III''), and a modified novolac resin contains a repeating unit expressed by formula (IV') (not figured) and/or a repeating unit expressed by formula (IV'') (not figured) and a repeating unit expressed by formula (V) (not figured).
