To provide a laminate having a transparent electrode, which can be easily formed on a corrugated surface and is advantageous from the viewpoint of the cost since a simple and easy film-forming process is applicable thereto; and to provide an organic electroluminescent device which comprises the laminate and is excellent from the viewpoint of the light extraction efficiency. A laminate which sequentially comprises at least a transparent substrate, a light diffusion layer and a light-transmitting conductive layer in this order. The conductive layer contains a conductive matrix and particles that have a higher refractive index than the conductive matrix.
