PROBLEM TO BE SOLVED: To obtain a differential-signal generating circuit capable of easily adjusting the cross point of a differential signal. SOLUTION: The differential-signal generating circuit has a first amplifier comparing an input signal and a threshold voltage and outputting differential signals and a second amplifier adjusting the threshold voltage in response to the differential signals. In the second amplifier, the differential signals are input to gates respectively. The second amplifier has first and second transistors configuring a differential pair and third and fourth transistors having current-mirror configurations and connecting to drains for the first and second transistors and the reference potential point respectively. The second amplifier further has a current source connecting sources for the first and second transistors in common and an adjusting section adjusting a drain current for the first transistor in response to a current or a voltage input from the outside.
