PROBLEM TO BE SOLVED: To provide a light modulating device for retaining the high dynamic range characteristics of an optical system that has a high dynamic range by reducing the effect of heat with respect to the optical system, and to provide a projector. SOLUTION: The light modulating device 100 includes a first light modulating element (light valve 51) that modulates light from a light source (lamp 31); a second light modulating element (light valve 81) that modulates light from the first modulating element; and a relay lens section 70, disposed in between the first and second light modulating elements. Flanges 76 (76a, 76b), serving as fixing parts, are disposed at both ends of the relay lens section 70. The first light modulating element (light valve 51) is fixed to the one fixing part (flange 76a), and the second light modulating element (light valve 81) is fixed to the other fixing part (flange 76b).
