PROBLEM TO BE SOLVED: To provide a resin composition which can remarkably improve touch on peeling as sealants without too much deteriorating various characteristics such as aluminum foil adhesiveness, seal strength, hot oil resistance, slipperiness and processability, and to provide a laminate used for a heat seal layer. SOLUTION: This resin composition is characterized by comprising (A) 90 to 20 pts.mass of an ethylene-(meth)acrylic acid-(meth)acrylate copolymer component or a mixture component of an ethylene-(meth)acrylic acid-(meth)acrylate copolymer with ethylene-(meth)acrylic acid copolymer, (B) 10 to 80 pts.mass of an ethylene-(meth)acrylate copolymer component, and (C) 0 to 20 pts.mass of a tackifying resin component, wherein the component (B) is the component having a melt flow rate of 0.1 to 500 g/10 min and a (meth)acrylate unit content of 5 to 30 mass%.
