PROBLEM TO BE SOLVED: To provide a cellular shock-absorbing sheet which is free from dispersion in the welding strength at the welding position, and is capable of manufacturing a difficult-to-break bag when manufacturing the bag by overlapping a plurality of the cellular shock-absorbing sheets each other, or folding and overlapping one cellular shock-absorbing sheet. SOLUTION: The cellular shock-absorbing sheet 1 consists of a cap film 2 having a plurality of projecting parts 4 formed on an upper side, and a flat base film 3 on a lower side. The cap film 2 and the base film 3 are affixed to each other. A welding margin 5 is provided around the entire periphery of an outer peripheral portion of the cellular shock-absorbing sheet 1.
