PURPOSE: A rear seat mounting structure is provided to mount a rear seat to a panel without separate mounting hole and bolt to improve workability. CONSTITUTION: An insertion part(60) upwardly protrusive with an open front surface is formed on a panel(20). A lower fixing part(50) is inserted through an upper fixing part(40) into the insertion part. The upper fixing part has a placed part(42) placed on the upper end of the insertion part and bent forward, a supporting part(44) extended from the placed part and bent inward and a guide part(46) slopingly formed on the lower end thereof. The lower fixing part has a bent part(52) bent inward to be placed on the upper surface of the supporting part of the upper fixing part and an insertion end(54) extended to the supporting part and bent backward to be inserted into the insertion part.
