PURPOSE:To provide the title compsn. which has excellent storage stability and gives a coating film having excellent appearance, weather resistance, flexibility, impact resistance and corrosion resistance, and which comprises a particular carboxyl-contg. vinyl copolymer and diglycidyl terephthalate. CONSTITUTION:3-30wt.% carboxyl-contg. vinyl monomer (a) [e.g., (meth)acrylic acid] and 97-70wt.% ethylenically unsatd. monomer (b) (e.g., methyl methacrylate) are copolymerized in the presence of a polymn. initiator (e.g., t-butylperoxy-2-ethylhexanoate), thereby obtaining a carboxyl-contg. vinyl copolymer (A) having a glass transition temp. of 30-110 deg.C and a number-average MW of 1,500-30,000. 97-70wt.% component (A) is mixed with 3-30wt.% glycidyl terephthalate (B) in an equivalent wt. ratio of the carboxyl group of component (A) to the glycidyl group of component (B) of 0.5-1.5, optionally together with an inorg. pigment, an org. pigment, a powdery metal, a dye, a synthetic resin, a surface conditioner, a catalyst, etc.
