PURPOSE:A high-activity catalyst, consisting of a specific solid catalyst component containing Si, Mg, Al and Ti and of an organoaluminum compound, gives the titled copolymer of a high powder bulk density and a narrow particle size distribution without removal of the catalyst. CONSTITUTION:A reaction product between a chain or cyclic hydropolysiloxane of formulaI(R<1> is alkyl; a is 0-2; b is 1-3; a+b<=3) such as methylhydropolysiloxane with blocked terminals and a Grignard reagent is made to react with a compound of formula II[R<2> is 1-12C hydrocarbon; M is Al, Si; Z is valency of Al, Si; X is halogen; n is 0-(Z-1)]. Further, the product is made to react with a titanium halide in the presence of an organic acid ester such as ethyl benzoate to prepare the solid catalyst component (A). Then, the copolymerization of ethylene and an alpha-olefin of 3 or more carbon atoms is conducted by use of a catalyst composed of (A) the above solid catalyst component and (B) an organoaluminum compound such as (C2H5)3Al.
