PROBLEM TO BE SOLVED: To provide an aluminum alloy sheet having high strength even when being thinned and excellent corrosion resistance, and to provide a heat exchanger with the use of it. SOLUTION: The aluminum alloy sheet has a skin material formed at least on one main surface of a center layer. The skin material comprises 0.03-0.3 mass% Fe, 0.4-1.9 mass% Mn, 0.4-1.4 mass% Si, 2.0-5.5 mass% Zn and the balance Al with unavoidable impurities; and includes intermetallic compounds containing Al and Mn so as to occupy 1% or less of the surface area of the skin material by an area rate.
