<P>PROBLEM TO BE SOLVED: To provide an electronic control unit capable of improving heat dissipation efficiency. <P>SOLUTION: An electronic control unit (ECU) 10 comprises: a circuit board with a heat-generating electronic component such as a power transistor mounted thereon: a case 20 in which the circuit board is accommodated; and a cover 40 covering an opening of the case 20. A heat dissipating member for dissipating heat from the heat-generating electronic component is arranged on a rear face of the cover 40, and mounting pieces 47 are formed from both side faces. A mounting face 45 on a front face of the cover 40 is formed as a convex. When the ECU 10 is fastened to a mounting object face 56 on a side wall 50 in an engine room by inserting a bolt through a bolt insertion hole on each of the mounting pieces 47, the mounting object face 56 is warped by the mounting face 45 on the cover 40 and irregularities on the mounting object face 56 are changed into a shape corresponding to the convex on the mounting face 45, thereby decreasing a non-contact area between the mounting face 45 on the cover 40 and the mounting object face 56.
