PROBLEM TO BE SOLVED: To provide a rubber composition, improved, with excellent balance, in characteristics for low fuel consumption, destruction characteristics (abrasion resistance) and wet-grip characteristics, and to provide a pneumatic tire formed of the rubber composition. SOLUTION: The rubber composition includes: a rubber component containing a modified conjugated diene based polymer having a functional group containing hetero atoms at a main chain and at least at one of terminals; and silica; wherein the amount of the silica is 10-200 pts.mass for 100 pts.mass of the rubber component; and the amount of a silane coupling agent contained is at most 3 pts.mass for 100 pts.mass of silica.
