A method for preparing a phosphonium compound for preparing a cyclic olefin polymer is provided to improve preparation yield and simplicity of the phosphonium cocatalyst compound which enhances activity of catalyst for preparing cyclic olefin containing a polar functional group by polymerizing a cyclic olefin monomer containing the polar functional group. The phosphonium compound represented by the formula(1): [(R1)-P(R2)a(R2')b[Z(R3)d]c][Ani] is prepared by contacting the phosphonium compound represented by the formula(2): [(R1)-P(R2)a(R2')b]HX with the salt compound represented by the formula(3): [C][Ani], wherein a, b and c are each independently an integer from 0 to 3 and a+b+c=3; Z is oxygen, sulfur, silicon or nitrogen; d is 1 when Z is oxygen or sulfur, 2 when Z is nitrogen, or 3 when Z is silicon; R1 is hydrogen, alkyl or aryl group; R2, R2' and R3 are each independently hydrogen, C1-C20 linear or branched alkyl, alkoxy, allyl, alkenyl or vinyl which is optionally substituted, optionally substituted C3-C12 cycloalkyl, optionally substituted C6-C40 aryl, optionally substituted C7-C15 aralkyl, optionally substituted C3-C20 alkynyl, tri(C1-C10 linear or branched alky)silyl, tri(C1-C10 linear or branched alkoxy)silyl, tri(optionally substituted C3-C12 cycloalkyl)silyl, tri(optionally substituted C6-C40 aryl)silyl, tri(optionally substituted C6-C40 aryloxy)silyl, tri(C1-C10 linear or branched alkyl)siloxy, tri(optionally substituted C3-C12 cycloalkyl)siloxy, or tri(optionally substituted C6-C40 aryl)siloxy; [Ani] is borate, aluminate, [SbF6]-, [PF6]-, [AsF6]-, perfluoroacetate, perfluoropropionate, perfluorobutyrate, perchlorate, p-toluene sulfonate, [SO3CF3]-, boratabenzene or carborane optionally substituted by halogen; and C is alkali metal or MgX.
