<P>PROBLEM TO BE SOLVED: To provide a rubber composition capable of improving fuel efficiency, wet-grip performance and dry-grip performance in a balanced manner; and a pneumatic tire using the rubber composition. <P>SOLUTION: The rubber composition includes a rubber component and silica. In 100 mass% of the rubber component, a conjugated diene-based polymer, which has a structural unit based on conjugated diene and an amine- or hydroxy group-containing vinyl silane and has at least one terminal modified with a compound represented by formula (II), is contained at least 5 mass%.
