PROBLEM TO BE SOLVED: To provide a heat insulating panel and a heat insulating panel structure, having a gap adjusting member and preventing decrease in heat insulation and formation of condensation by closing a gap between a bed material and the panel. SOLUTION: A heat insulating panel comprises a surface member 1 and a heat insulating material 2 integrally fixed to the back of the surface member 1. The heat insulating material 2 comprises a heat insulating material main body 21 fixed to the surface member 1 with a space A between its cross end 211 and the surface member 1 and a gap adjusting member 2 freely movably stored in the space A. An elastic structural part 21c capable of pressing the gap adjusting member 22 outward of the end is provided at the end 211 of the heat insulating material main body, and the gap adjusting member 22 is stored in the space A in such a way as to be movable according to the condition of elastic contact with the elastic structural part 21c, thus enabling the width of the panel to be adjusted. Also, the heat insulating panel A1 is pressed in between axial members 3, 3 and the heat insulating material 2 presses against the axial member 3, forming a heat insulating panel structure B1 excellent in adherence and heat insulation.
