PROBLEM TO BE SOLVED: To provide a method for producing capable of preparing, by one step reaction, a stable compound having a methacryloyl group excellent in curability by an active energy beam, a radical or the like and in heat-curability, a secondary hydroxyl group contributing to cohesiveness with a substrate and an epoxy group enabling a cation cure. SOLUTION: The method for producing a methacrylate modified epoxy resin comprises introducing the methacryloyl group into a part of the secondary hydroxyl group of an epoxy resin (I) by the ester exchange reaction of the epoxy resin (I) with a methacrylic acid alkylester (II) under a polystannoxane catalyst (III) while tracing an amount of a generating alcohol.
