PROBLEM TO BE SOLVED: To provide a rubber composition which improves, in balance, fuel consumption, wet gripping capability and abrasion resistance; and to provide a pneumatic tire using the same. SOLUTION: The rubber composition includes a rubber component, silica and a silane coupling agent having a mercapto group. In this case, the composition concerned contains: at least 5 mass% of a conjugated dien polymer to 100 mass% of the rubber component, the polymer concerned having a composition unit based on the conjugated dien and a composition unit represented by formula (I), at least one terminal of the polymer being modified by a compound represented by formula (II); and 5-150 pts.mass of the silica to 100 pts.mass of the rubber component. In formula (I), X<SP POS="POST">1</SP>, X<SP POS="POST">2</SP>and X<SP POS="POST">3</SP>each independently represent a group represented by formula (Ia), hydroxyl, hydrocarbyl, or substituted hydrocarbyl; and at least one of X<SP POS="POST">1</SP>, X<SP POS="POST">2</SP>and X<SP POS="POST">3</SP>represents a group represented by formula (Ia) or hydroxyl. In formula (Ia), R<SP POS="POST">1</SP>and R<SP POS="POST">2</SP>each independently represent 1-6C hydrocarbyl, 1-6C substituted hydrocarbyl, silyl or substituted silyl, and R<SP POS="POST">1</SP>and R<SP POS="POST">2</SP>may combine together and form a ring structure with a nitrogen atom.
