PURPOSE:To obtain a core/shell polymer of improved impact resistance comprising a core having carboxyl groups on the surface and a shell comprising a glassy polymer and having a specified toluene-solubles content. CONSTITUTION:A conjugated diene monomer and/or an alkyl(2-8C) acrylate monomer (a) and optionally a crosslinking monomer, a grafting monomer and a monomer (b) copolymerizable with component (a) are polymerized, and a carboxylic monomer (c) is then polymerized to obtain a core (A) having carboxyl groups on the surface and a glass transition temperature of -30 deg.C or less and comprising a phase comprising a rubbery polymer and another phase surrounding the former and comprising a carboxylic polymer. A monomer (d) free from carboxyl-reactive and amino-reactive functional groups is polymerized in the presence of component A to obtain a core/shell polymer comprising 50-90wt.% component A and 10-50wt.% shell (B) comprising a glassy polymer free from carboxyl-reactive and amino-reactive functional groups and having a toluene- solubles content of 10wt.% or less.
