Disclosed is a heat-conductive pressure-sensitive adhesive sheet having a high heat conductivity and excellent flame retardancy.  A heat-conductive pressure-sensitive adhesive composition constituting the heat-conductive pressure-sensitive adhesive sheet is also disclosed.  A heat-conductive pressure-sensitive adhesive composition (E) contains at least one polymer (S) selected from the group consisting of rubbers, elastomers and resins, a combustion inhibitor (B), an expanded graphite powder (C) and heat-conductive fibers (D).  A heat-conductive pressure-sensitive adhesive sheet (F) is a sheet-like molded body of the heat-conductive pressure-sensitive adhesive composition (E) or a solidified form (E') of the heat-conductive pressure-sensitive adhesive composition.
